The Loopholes

Amazon’s $50 billion is subject to “preset conditions.” In fact, this is a “Performance Loophole”—if OpenAI fails to hit specific technical milestones for AGI or “Frontier” capabilities, Amazon could legally withhold the remaining $35 billion. Therefore, the deal is more of a “line of credit” than a lump-sum payment. Still, the “Microsoft Loophole”—claiming nothing has changed—is a diplomatic necessity; in reality, Microsoft has lost its status as the exclusive cloud home of OpenAI, a major shift in the competitive landscape.
